Terms of Service

1. General

These Terms of Service ("Terms") govern your access to and use of Moons' SNN-Studio ("the Service"), a software-as-a-service platform operated by Moons Enterprises, located in The Netherlands (Chamber of Commerce: [KVK-nummer volgt na inschrijving]).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Intellectual Property & Ownership

Moons' SNN-Studio — including its source code, algorithms, conversion pipeline, brand name, logo, user interface, documentation, and all related materials — is the exclusive intellectual property of Moons Enterprises. All rights are reserved.

The ANN-to-SNN conversion engine, spike simulation methodology, and energy metrics algorithms contained in this platform are proprietary developments of Moons Enterprises and may not be copied, reproduced, distributed, decompiled, reverse-engineered, or otherwise exploited without prior written consent.

The Moons' SNN-Studio name, logo, and brand are trademarks of Moons Enterprises. Unauthorized use of these marks is strictly prohibited.

3. License to Use

Subject to your compliance with these Terms and timely payment of applicable subscription fees, Moons Enterprises grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You may not sublicense, resell, or provide access to the Service to third parties without express written consent. You may not use the Service to build a competing product.

4. User-Uploaded Models & Content

You retain full ownership of any neural network models and data you upload to Moons' SNN-Studio. By uploading content, you grant Moons Enterprises a limited, non-exclusive license to process your content solely for the purpose of providing the Service.

Uploaded files are processed in-memory and temporarily stored during conversion. Files are deleted immediately after conversion is complete. We do not use your models to train our systems or share them with third parties.

You are solely responsible for ensuring you have the right to upload any model and that doing so does not infringe third-party intellectual property rights.

5. Subscription & Payments

The Service offers a Free tier (1 conversion) and a Pro tier ($99 USD/month). All payments are processed securely by Stripe. Subscriptions renew automatically each billing period unless cancelled.

You may cancel your subscription at any time. Access to Pro features continues until the end of the current billing period. No refunds are provided for partial months, unless required by applicable law.

Moons Enterprises reserves the right to change pricing with 30 days' notice to existing subscribers.

6. Acceptable Use

You agree not to:

• Upload models that are malicious, contain malware, or violate third-party rights
• Attempt to reverse-engineer, decompile, or extract the conversion algorithm
• Circumvent account limits, rate limits, or subscription paywalls
• Use the Service in violation of any applicable law or regulation
• Resell, sublicense, or provide white-label access to the Service
• Use automated tools to scrape, stress-test, or abuse the API beyond normal use

7. Disclaimer of Warranties

The Service is provided "as is" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Energy savings percentages are estimates based on simulation and are not guaranteed hardware performance figures.

8. Limitation of Liability

To the maximum extent permitted by law, Moons Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business arising from your use of the Service. Total liability shall not exceed the amount you paid in the 3 months preceding the claim.

9. Termination

Moons Enterprises may suspend or terminate your account for violation of these Terms, non-payment, or illegal activity, with or without notice. Upon termination, your right to use the Service ceases immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with Dutch law. Any disputes shall be submitted to the competent court in The Netherlands.

11. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by email or prominent notice within the Service. Continued use after changes constitutes acceptance of the updated Terms.
